Documents Required

    • Identity Proof of Director (PAN card)

    • Passport (if Director/Subscriber is a Foreign National)
    • Proof of Office Address (Rental Agreement/Ownership Deed)
    • Utility bills not older than 2 months (Electricity Bill/Water Bill/Gas Bill)
    • NOC from the owner of the property, if the registered office is on a rented/leased property.
    • Approval from Central Government (Copy of approval in case the proposed name of the company contains any word(s) or expression(s) that require approval from central government)
    • Trademark Registration Certificate or trademark Application copy (If the proposed name is based on a registered trademark or is subject matter of an application pending for registration under the Trade Marks Act)

     

Procedure

Create Your Profile With Kirnaaz

Obtain Digital Signature (Dsc)

Digital signatures are required to file the forms for company formation. The registration process is completely online and the forms require a digital signature.

Apply For Director Identification Number (Din)

DIN is an identification number for a director. It has to be obtained by anyone who wants to be a director in a company. One DIN is enough to be a director in any number of companies

Approval Of Name

RUN form is to be filled to reserve the unique name of your company. Sometimes, due to unavailability of the names proposed by you, this form needs to be filled more than once.

: Registration Of Company

SPICe+ form is required to be submitted for registering your company.

E-Moa & E-Aoa

e-MoA refers to an electronic Memorandum of Association and eAoA is electronic Articles of Association. These forms have been introduced to simplify the process of company registration in India. These forms are attached with SPICe+.

Pan And Tan Application

The Certificate of Incorporation of OPC will be issued with the PAN as allotted by the Income Tax Department after approval of the SPICe+ Form.

Post Incorporation Services:

PF and ESI registration, GST registration and other services required by you.

Only an individual who is an Indian citizen and resident in India shall be eligible to act as a member and nominee of an OPC. For the above purpose, the term “resident in India” means a person who has stayed in India for a period of not less than one hundred and eighty-two days during the immediately preceding one financial year.

 

 

  1. At least one Board Meeting in each half of the calendar year and the time gap between the two Board Meetings should not be less than 90 days.

In case the paid-up share capital of an OPC exceeds fifty lakh rupees or its average annual turnover of immediately preceding three consecutive financial years exceeds two crore rupees, then the OPC has to mandatorily convert itself into a private or public company.
