Procedure

Obtain Digital Signature (Dsc)

Digital signatures are required to file the forms for company formation. The registration process is completely online and the forms require a digital signature.

Apply For Director Identification Number (Din)

DIN is an identification number for a director. It has to be obtained by anyone who wants to be a director in a company. One DIN is enough to be a director in any number of companies

Approval Of Name

RUN form is to be filled to reserve the unique name of your company. Sometimes, due to unavailability of the names proposed by you, this form needs to be filled more than once.

Obtaining License

Prior to filing registration form, it is mandatory to obtain license for working of NGO.

Registration Of Company

SPICe+ form is required to be submitted for registering the charitable institution

E-Moa & E-Aoa

e-MoA refers to an electronic Memorandum of Association and eAoA is electronic Articles of Association. These forms have been introduced to simplify the process of company registration in India. These forms are attached with SPICe+

Pan And Tan Application

The Certificate of Incorporation of section 8 will be issued with the PAN as allotted by the Income Tax Department after approval of the SPICe+ Form

  1. An Individual or HUF or limited Company is eligible to register as section 8 companies in India.
  2. Minimum 2 directors and 2 members are required to register section 8 company.
  3. Two or more person who will act as a shareholder or Director of the company should fulfil all the requirements and compliances of the Section 8 Company registration.
  4. At least one of the directors shall be a resident of India. However, a firm may be a member of the company registered under this section.
  5. The purpose should be the promotion of sports, social welfare, the advancement of science and art, education and financial assistance to lower income groups etc.
  6. The surplus gained must be utilized for meeting the principal objective of the section 8 company only.
  7. Founders, members, and directors of the company cannot draw any remuneration in any form of cash or kind.
  8. No profit should be distributed among the members and director of the company directly or indirectly
  9. The company should have the clear vision, goals and project plan for the next three years.
